Sign & Lock Production
1. Parties & Services
This Production Agreement ("Agreement") is entered into between Sohei Creative LLC ("Agency") and the undersigned client ("Client"). The Agency agrees to deliver the production package described in this proposal — two thirty-second video ads and six finished images, shot across three locations.
2. Deliverables
- Two (2) thirty-second video advertisements, edited and color-graded, delivered in 9:16, 1:1, and 16:9 aspect ratios.
- Six (6) finished still images, retouched and color-corrected, delivered as high-res files for web and print.
- Three (3) half-day production days, one at each location, including crew and gear.
- One (1) round of revisions per deliverable. Additional revisions are billed at the Agency's standard hourly rate.
3. Schedule
Production dates will be confirmed within seven (7) business days of signature and deposit. Final delivery occurs approximately four (4) weeks from the project kickoff date, subject to weather and location availability.
4. Payment Terms
The total project fee is as specified in the proposal above.
- 50% deposit due at signature to confirm production dates.
- 50% balance due on final delivery of all assets.

- Late balance payments after 7 days may delay file delivery.
5. Client Responsibilities
The Client agrees to provide location access, point-of-contact availability during production, and timely approval of creative direction. Approvals not returned within 48 hours of submission will be treated as approved.
6. Content Ownership & Usage
Upon final payment, the Client receives a perpetual, non-exclusive license to use all delivered content for marketing, advertising, and promotional purposes. The Agency retains the right to display the work in portfolios, case studies, and its own marketing materials.
7. Cancellation & Rescheduling
The deposit is non-refundable. Production dates may be rescheduled once at no charge with at least 14 days notice. Cancellations made within 14 days of a scheduled shoot may forfeit the deposit at the Agency's discretion.
8. Limitation of Liability
The Agency's total liability under this Agreement shall not exceed the total fees paid by the Client. The Agency is not liable for indirect, incidental, or consequential damages.
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement, including pricing, business strategy, and credentials.
10. Electronic Signature
Both parties agree that electronic signatures are legally binding and constitute valid acceptance of this Agreement. By signing below, the Client acknowledges they have read, understood, and agree to all terms.
