These Terms of Service ("Terms") govern your use of the website www.sohei.co and any services provided by Sōhei Creative ("we," "us," or "our"), a social media content production agency based in the Twin Cities, Minnesota. By accessing our website or engaging our services, you agree to these Terms.

1. Services

Sōhei Creative provides social media content production, photography, videography, social media management, content strategy, and related creative services. Specific deliverables, timelines, and pricing are outlined in individual service agreements or proposals provided to each client.

2. Eligibility

You must be at least 18 years of age or have the consent of a legal guardian to use our website or engage our services. By using this site, you represent that you meet this requirement.

3. Client Agreements

Services are governed by individual client agreements, proposals, or statements of work that outline:

  • Scope of services and deliverables
  • Pricing, payment terms, and billing schedule
  • Project timelines and milestones
  • Revision policies and approval processes
  • Content ownership and licensing rights

In the event of a conflict between these Terms and a signed client agreement, the client agreement takes precedence.

4. Content Ownership and Licensing

Client Content

You retain ownership of all materials you provide to us (logos, brand assets, product photos, written content). By providing these materials, you grant us a limited license to use them solely for the purpose of delivering our services.

Produced Content

Unless otherwise specified in a client agreement, ownership of content produced by Sōhei Creative transfers to the client upon full payment. We retain the right to display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

Stock Content

We do not use stock photography or video in our deliverables. All content is original and produced specifically for your brand.

5. Payments and Billing

  • Payment terms are specified in individual client agreements
  • Invoices are due upon receipt unless otherwise agreed
  • Late payments may result in service suspension or a late fee as outlined in your agreement
  • All purchases made through our website are processed securely via Shopify Payments
  • Prices are listed in USD and are subject to change with notice

6. Refund Policy

Refund terms are outlined in individual client agreements. For website purchases, please refer to our Refund Policy. Our "Test Before You Trust" offer allows you to evaluate our work before committing to a full engagement.

7. Social Media Account Access

When providing social media management services, you grant us authorized access to your social media accounts for the purpose of content publishing, community management, and analytics. We agree to:

  • Use account access solely for the agreed-upon services
  • Not share account credentials with unauthorized third parties
  • Return full account access upon termination of services
  • Follow each platform's terms of service and community guidelines

8. Client Dashboard

Clients may receive access to our content management dashboard to monitor their Content Supply Chain. Dashboard access is provided for the duration of the service relationship. You agree to keep your login credentials confidential and notify us of any unauthorized access.

9. Website Use

When using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorized access to any portion of the site
  • Transmit viruses, malware, or other harmful code
  • Scrape, harvest, or collect data without permission
  • Reproduce, duplicate, or resell any portion of the site without written consent
  • Interfere with the site's security features or functionality

10. Newsletter and Communications

By subscribing to our Social Media News Dashboard or other communications, you consent to receive emails from us. You may unsubscribe at any time using the link provided in each email. We will not sell or share your email address with third parties for their marketing purposes.

11. Intellectual Property

All website content, branding, design elements, the Content Supply Chain framework, and proprietary methodologies are the intellectual property of Sōhei Creative. You may not copy, modify, distribute, or create derivative works from our intellectual property without written permission.

12. Third-Party Services

Our website and services may integrate with third-party platforms and tools including social media platforms, analytics services, and payment processors. We are not responsible for the terms, privacy practices, or availability of these third-party services. Your use of third-party services is governed by their respective terms.

13. Disclaimer of Warranties

Our website and services are provided "as is" without warranties of any kind, express or implied. While we strive to deliver exceptional results, we do not guarantee specific outcomes including but not limited to follower counts, engagement rates, revenue increases, or viral content performance. Social media platforms control their own algorithms, and results vary.

14. Limitation of Liability

To the maximum extent permitted by law, Sōhei Creative shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Sōhei Creative, its owner, employees, and contractors from any claims, damages, or expenses arising from your breach of these Terms, your use of our services, or any content you provide to us that infringes on third-party rights.

16. Termination

Either party may terminate the service relationship as outlined in the applicable client agreement. We reserve the right to terminate or suspend website access for violations of these Terms. Upon termination, provisions regarding intellectual property, limitation of liability, and indemnification survive.

17. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States. Any disputes arising from these Terms shall be resolved in the courts of Hennepin County, Minnesota.

19. Severability
