This End-User License Agreement ("Agreement") governs use of Sōhei OS (the "Software"), the internal business operating system built and operated by Sōhei Creative ("Sōhei", "we", "us"), Twin Cities, Minnesota. By signing in to the Software you agree to this Agreement.

1. Who may use it

The Software is licensed to Sōhei Creative and to the people Sōhei has placed on its team roster (each a "User"). It is not offered to the public. A User's access ends when Sōhei removes them from the roster.

2. Licence

Sōhei grants each User a personal, non-transferable, revocable licence to use the Software for Sōhei Creative's business. Users may not copy, resell, sublicense, reverse-engineer, or use the Software for any other business.

3. Connected services

The Software connects, with the account holder's authorisation, to third-party services including Google Workspace (Gmail, Calendar, Contacts, Business Profile), Intuit QuickBooks Online, Stripe, Dropbox, Twilio, Mailgun, Meta, and Apollo. Each connection is made through that provider's own authorisation screen and can be revoked there or in the Software's settings at any time.

Use of QuickBooks Online through the Software is also subject to Intuit's terms of service. Intuit is not a party to this Agreement and provides no warranty for the Software. The Software reads and writes QuickBooks data (customers, invoices, payments, and company information) only to keep Sōhei Creative's own books current and only for Sōhei Creative's own company file.

4. Data

Data handled by the Software belongs to Sōhei Creative and to the clients and contacts it concerns. It is stored with Supabase (database) and Vercel (hosting) in the United States, encrypted in transit, with access keys held encrypted at rest. How personal information is collected, used, retained and deleted is described in Sōhei Creative's Privacy Policy at soheicreative.com/pages/privacy-policy, which forms part of this Agreement.

Users must keep their sign-in private, must not export or share data beyond what their work requires, and must report any suspected breach to info@soheicreative.com without delay.

5. AI assistance

The Software drafts, summarises and proposes actions using AI models operated by Anthropic. Every outbound action the Software proposes (an email, an invoice, a calendar invite, a review reply) is shown to a User for approval before it happens, unless a User has explicitly switched a specific automation to run on its own. Sōhei is responsible for what it sends; the AI provider is not.

6. Availability and changes

The Software is provided "as is" and may change, pause, or be withdrawn at any time. Sōhei makes no warranty that it will be uninterrupted or error-free.

7. Liability

To the fullest extent permitted by law, Sōhei Creative and its suppliers are not liable for indirect, incidental, or consequential loss arising from use of the Software. Nothing in this Agreement limits liability that cannot be limited by law.

8. Termination

Sōhei may end a User's access at any time. Sections 3, 4, 7 and 9 survive termination.
