1. Parties & Services
This Service Agreement ("Agreement") is entered into between Sohei Creative LLC ("Agency") and the undersigned client ("Client"). The Agency agrees to provide the social media management and content creation services described in the selected service package.
2. Term & Billing
This Agreement begins on the date of electronic signature and continues on a month-to-month basis.
- Billing occurs on the 1st of each month via the payment method on file.
- The first invoice will be prorated if services begin mid-cycle.
- All prices are in USD unless otherwise stated.
- Late payments may result in service suspension after a 7-day grace period.
3. Scope of Work
The Agency will deliver the services outlined in the selected package, including but not limited to content planning, creation, scheduling, and publishing. Any work outside the defined scope will require a separate agreement or written approval and may incur additional fees.
4. Client Responsibilities
The Client agrees to:
- Provide timely access to brand assets, accounts, and any necessary credentials.
- Respond to content approvals within 48 hours of submission.
- Designate a single point of contact for communication with the Agency.
- Ensure all provided materials (logos, images, copy) are owned or properly licensed.
5. Content Ownership & Usage
All content created by the Agency remains the intellectual property of the Agency until full payment is received for the billing period in which it was created. Upon payment, the Client receives a perpetual, non-exclusive license to use the content. The Agency retains the right to display work in portfolios, case studies, and marketing materials.
6. Revisions & Approvals
Each deliverable includes up to two (2) rounds of revisions. Additional revision rounds will be billed at the Agency's standard hourly rate. Content not reviewed within 48 hours of submission will be considered approved.
7. Cancellation
Either party may cancel this Agreement with 30 days' written notice.
- No refunds will be issued for the current billing period upon cancellation.
- The Agency will complete all scheduled work through the end of the paid period.
- Upon cancellation, the Client will receive all final assets and content within 7 business days.
- Re-activation after cancellation may be subject to updated pricing and availability.
8. Limitation of Liability
The Agency shall not be held liable for any indirect, incidental, or consequential damages arising from the use of delivered content, including but not limited to lost revenue, engagement metrics, or third-party platform changes. Total liability shall not exceed the amount paid by the Client in the most recent billing period.
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of this engagement, including business strategies, analytics data, credentials, and financial information. This obligation survives termination of the Agreement.
10. Electronic Signature
Both parties agree that electronic signatures are legally binding and constitute valid acceptance of this Agreement. By signing below, the Client acknowledges they have read, understood, and agree to all terms outlined in this document.

We manage Instagram, TikTok, Facebook, LinkedIn, YouTube, and X (Twitter). The number of platforms included depends on your package tier, but we can add more as an add-on.
No. We handle the entire content supply chain from strategy to publishing. All we need from you is access to your accounts and about an hour per month for approvals and feedback. If you have existing brand assets, great — we will incorporate them.
We send you content for review before anything goes live. You get 48 hours to approve or request changes. If we do not hear back, we move forward with publishing. Revisions are included in your package — the number depends on your plan.
